Service Agreement (Point of Purchase)
Video X Post, a DBA of VXP Media LLC
This agreement applies to the specific package or service you are purchasing. It works alongside our full Terms and Conditions and Privacy Policy, which remain in effect. By checking the box at checkout, you confirm you've read and agree to all three.
1. What You're Purchasing
You are purchasing the specific package or service selected at checkout, with the deliverables, asset counts, and turnaround time listed for that package on our Packages page at the time of purchase. Add-ons, extra scenes, or services outside your selected package are not included and are available separately.
If you're purchasing custom work quoted outside our standard packages, the scope and pricing described in your approved estimate apply in place of standard package deliverables.
2. Footage Requirements
You agree to provide footage that is:
Clean camera originals, or scenes already edited to a usable standard
Properly shot and adequately exposed, with clear audio
For multi-camera projects: slated or timecode-synced
Footage that is technically compromised (severe exposure issues, out of focus, unusable audio) may be subject to an assessment fee before work begins, or may require a scope adjustment. We'll always contact you before proceeding if this applies to your project.
3. Revisions
Your package includes the number of revision rounds listed on the Packages page for your tier. Revision requests must be submitted within the 10-day guarantee window and must relate to the original brief provided at project start. Requests for new creative direction, additional scenes, or work outside the original scope are treated as new add-on work and quoted separately.
4. Music, Stock Assets & Supplementary Materials
Video X Post does not provide music, stock photos, stock footage, AI-generated B-roll, or fonts as part of any package. If your project requires any of these elements:
You are responsible for sourcing your own selections and ensuring you hold a valid, usable license for each — including any license terms that specifically permit commercial and adult-industry use, where applicable.
You must deliver your selected assets to us along with your footage at project start, clearly labeled for where they should be used.
This includes stock footage or other licensed material you intend to use alongside your own content — even if properly licensed to your brand, it must be provided by you. We do not maintain or provide a stock asset library for these projects.
We are not responsible for verifying the licensing status of any assets you provide, and we are not liable for any licensing disputes, claims, or infringement arising from assets you source and supply.
5. Turnaround & Delivery
Standard delivery is 5–7 business days per scene from the time we receive complete, usable footage, unless otherwise stated for your package or add-on. Delivery timing depends on us receiving everything needed to start (footage, brief, any account access required for your package) — delays on your end may shift your delivery date accordingly.
Review versions of your deliverables are provided watermarked. Watermarks exist solely to protect against unauthorized use of unapproved work and are removed once you approve the final deliverable and it's released to you in full.
6. Content Warranty
By purchasing, you confirm:
You have the legal right to submit this content for editing and distribution
Everyone appearing in the footage was 18 years of age or older at the time it was filmed, and gave informed consent to being filmed and to this content being edited and distributed
You will maintain any records required under applicable law for this content
You are the original producer of record for submitted content (or have written authorization from the original producer) and are solely responsible for maintaining records required under 18 U.S.C. §2257 for all performers appearing in the content, and will produce such records upon our request. We reserve the right to pause or decline work on any project if we reasonably believe these conditions haven't been met.
6a. Indemnification
You agree to indemnify and hold Video X Post and VXP Media LLC harmless from any third-party claims, damages, or legal costs arising from the content you provide to us — including claims related to copyright, right of publicity, defamation, or lack of consent from anyone appearing in your footage. This protects us in situations that are about your content and your rights to it, not our editing work.
6b. Zero-Tolerance / Reporting [NEW]
Video X Post maintains a zero-tolerance policy for content involving minors, non-consensual acts, or trafficking, and will report any such content to NCMEC and/or law enforcement. See our Terms and Conditions §4b–4c for full policy language, incorporated here by reference.
7. Platform Access (Platform Management Add-On Only)
If your package includes platform upload or scheduling management, any account access you provide is used solely to complete the tasks included in your package. Access is not used for any other purpose and is not shared with third parties.
8. Approval & Post-Delivery Requests
Once you approve a deliverable (or once the 10-day guarantee window closes without a request, whichever comes first), that deliverable is considered final and accepted.
After approval, requests to re-edit, reshoot direction, or change creative choices you previously signed off on are treated as new paid work, quoted and scheduled separately — this includes changes driven by your own change of mind, new brand direction, or feedback from your audience or platform after the fact.
This does not apply to genuine technical errors on our part (e.g., incorrect export settings, missing assets we were responsible for, files that don't match the approved cut) — those are corrected at no charge as part of your original package, if reported within the 10-day guarantee window.
If there's a dispute about whether an issue is a technical error versus a new request, we'll review the original brief and approved deliverable together with you to make that determination in good faith.
If you're not satisfied with a deliverable within the 10-day guarantee window, we'll work with you to make it right before any discussion of a refund — this may include revisions, reassigning your project to a different editor, or another resolution appropriate to the issue. Refunds are considered only if we're unable to deliver a version that meets the standards described for your package.
We do not accept chargebacks or payment disputes for work that was delivered and approved according to the process above. If you have a concern about your project, contact us directly first at [email protected] so we can resolve it.
8a. Project Inactivity
If we're waiting on something from you (footage, feedback, approval, required account access) and don't hear back for 30 days, we'll reach out to check in. If there's still no response after 60 days total, your project is considered inactive and your package is treated as used under the terms of our expiration policy — we won't keep chasing indefinitely, and the work already completed up to that point stands as delivered.
9. Payment & Cancellation
Packages are paid in full at time of purchase and are not subscriptions. Once work has begun on your project, purchases are non-refundable except as covered by the 10-day satisfaction guarantee described on our Packages page. 9a. Relationship of the Parties
Video X Post provides Services as an independent contractor. Nothing in this agreement creates an employment, partnership, joint venture, or agency relationship between you and Video X Post or VXP Media LLC.
9b. Governing Law
This agreement is governed by the laws of the State of New York, without regard to conflict of law principles. Any dispute arising from this agreement will be handled in the state or federal courts located in New York, NY.
10. Agreement
I have read and agree to this Service Agreement, the Terms and Conditions, and the Privacy Policy. I confirm the footage I submit will meet the requirements above and that I have the legal right to have it edited and distributed.
